These Terms of Service ("Agreement") constitute a legally binding contract between MiaoDesk, Inc. ("MiaoDesk," "we," "us," or "our") and the business entity or individual ("Customer," "you," or "your") accessing or using the MiaoDesk AI phone receptionist platform and related services (collectively, the "Service"). BY ACTIVATING AN ACCOUNT, CLICKING ACCEPT, OR OTHERWISE USING THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. The Service is intended for businesses operating lawfully licensed massage or bodywork studios in the United States. By registering, you represent that (a) you are at least 18 years of age, (b) you have the legal authority to bind the business entity to this Agreement, (c) your Studio holds all required state and local professional licenses, and (d) you will comply with all applicable laws in your use of the Service.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify MiaoDesk immediately at support@miaodesk.com if you suspect unauthorized access. MiaoDesk is not liable for losses caused by unauthorized account use resulting from your failure to safeguard credentials.

You agree to provide accurate, current, and complete information during registration and to update it promptly if it changes. MiaoDesk may suspend or terminate accounts based on materially false registration information.

3. Subscription Plans and Billing 3. 订阅计划与账单

MiaoDesk offers subscription plans priced on a per-Studio per-month basis, as set forth on the MiaoDesk pricing page at the time of signup. Plans may differ in the number of included call minutes, AI response languages, supported integrations, and support tiers. Plan details are incorporated by reference into this Agreement.

MiaoDesk may, in its sole discretion, offer a free trial period for new customers. At the end of the trial period, your account will automatically convert to the selected paid Subscription Plan and you will be charged unless you cancel before the trial expires. MiaoDesk reserves the right to modify or discontinue free trial offerings at any time.

Subscriptions renew automatically on a monthly basis (or the billing cycle selected at signup) unless cancelled. You authorize MiaoDesk to charge the payment method on file at the beginning of each billing cycle. All fees are stated in U.S. Dollars and are exclusive of applicable taxes.

3.4 Price Changes 3.4 价格变更

MiaoDesk may change Subscription Plan pricing upon at least thirty (30) days' prior written notice (which may be delivered by email to your registered address). Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

3.5 Per-Location Billing 3.5 按地点计费

Subscription fees are assessed per Studio location connected to the Service. Adding additional Studio locations mid-cycle will result in prorated charges for the remainder of the then-current billing period. Removing a Studio location takes effect at the end of the current billing cycle; no proration or refund is issued for mid-cycle removals.

You are responsible for all sales, use, value-added, and similar taxes assessed by any jurisdiction on the Service fees, excluding taxes on MiaoDesk's net income.

3.7 Late Payments and Suspension 3.7 逾期付款与暂停

If a payment fails, MiaoDesk will notify you and may retry the charge. If payment is not received within seven (7) days of the due date, MiaoDesk may (a) suspend access to the Service without further notice, and (b) charge a late fee of 1.5% per month on the outstanding balance, or the maximum rate permitted by law, whichever is lower. Accounts suspended for non-payment for more than thirty (30) days may be terminated, subject to the data deletion procedures in Section 10.

Except as expressly required by applicable law or as stated in a separate refund policy published by MiaoDesk, all fees are non-refundable. Cancellation stops future charges but does not entitle Customer to a refund of amounts already billed.

3.9 Disputes 3.9 争议

If you believe a charge is erroneous, you must notify MiaoDesk in writing within thirty (30) days of the invoice date. MiaoDesk will investigate and issue a credit or explanation within fifteen (15) business days. Failure to dispute within thirty (30) days constitutes acceptance of the charge.

Subject to the terms of this Agreement and timely payment of all fees, MiaoDesk grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for Customer's internal business operations at the Studio locations listed on the applicable Order Form.

The Service provides an AI-powered virtual phone receptionist capable of: (a) answering inbound calls to Customer's designated Studio phone number(s); (b) conducting bilingual (English and Mandarin Chinese) conversations with End Clients; (c) booking, modifying, and cancelling appointments via integration with Customer's Mindbody account; and (d) logging call activity in the MiaoDesk dashboard.

4.3 Restrictions 4.3 限制

You may not: (a) sublicense, resell, or provide third-party access to the Service; (b) reverse engineer, decompile, or attempt to extract source code; (c) use the Service to build a competing product; (d) remove or alter any proprietary notices; (e) use the Service in violation of applicable law; or (f) exceed usage limits established in your Subscription Plan.

5. Service Availability and Uptime 5. 服务可用性与正常运行时间

5.1 Target Availability 5.1 目标可用性

MiaoDesk targets ninety-nine percent (99%) monthly uptime for its core call-routing and scheduling infrastructure, measured as the percentage of minutes in a calendar month during which the Service is available and operational, excluding Scheduled Maintenance and Excused Outages (as defined below). This target is not a guarantee and does not constitute a service level agreement unless expressly set forth in a separate SLA addendum executed by both parties.

5.2 Scheduled Maintenance 5.2 计划维护

MiaoDesk may perform scheduled maintenance that results in temporary unavailability. MiaoDesk will use commercially reasonable efforts to provide at least forty-eight (48) hours advance notice via email or in-dashboard notification and to schedule maintenance during off-peak hours (between 2:00 a.m. and 6:00 a.m. Pacific Time).

MiaoDesk is not liable for unavailability caused by: (a) failures of Third-Party Services (including Twilio, ElevenLabs, Mindbody, or n8n); (b) Internet or telecommunications outages outside MiaoDesk's control; (c) acts of God, governmental actions, or force majeure events; (d) Customer's misconfiguration of the Service or Third-Party Service credentials; or (e) Distributed Denial-of-Service attacks or similar security events.

5.4 Service Credits 5.4 服务积分

If MiaoDesk fails to achieve the uptime target in Section 5.1 in a given calendar month (excluding Excused Outages), Customer's sole remedy is a credit equal to one (1) day's prorated subscription fee per hour of excess downtime, capped at one (1) month's subscription fee. Credits must be claimed within thirty (30) days of the month-end and will be applied to a future invoice. Credits are not transferable and have no cash value.

MiaoDesk reserves the right to take the Service offline immediately, without prior notice, to address critical security vulnerabilities or prevent ongoing harm to the platform, End Clients, or third parties. MiaoDesk will restore the Service as soon as reasonably practicable and will communicate the nature of the emergency to affected customers.

6. AI Service Limitations and Booking Error Liability 6. AI 服务限制与预约错误责任

The Service uses large language model AI and automated voice synthesis to respond to End Clients. AI outputs are probabilistic, not deterministic, and may be inaccurate, incomplete, or contextually inappropriate. YOU ACKNOWLEDGE THAT AI-GENERATED RESPONSES ARE NOT A SUBSTITUTE FOR HUMAN JUDGMENT AND THAT MIAODESK DOES NOT GUARANTEE THE ACCURACY OF ANY BOOKING CONFIRMATION, CANCELLATION, OR MODIFICATION COMMUNICATED BY THE AI AGENT.

本服务使用大型语言模型 AI 和自动语音合成来响应终端客户。AI 输出是概率性的而非确定性的,可能不准确、不完整或在情境上不恰当。您确认,AI 生成的响应不能替代人工判断,MIAODESK 不保证 AI 助手传达的任何预约确认、取消或修改的准确性。

6.2 Customer Responsibility for Accuracy 6.2 客户对准确性的责任

Customer is solely responsible for: (a) verifying that appointment data received through the Service is accurate before relying on it; (b) training Studio staff to cross-check AI-confirmed bookings against the Mindbody calendar; (c) maintaining accurate Studio schedules, service offerings, and staff availability in Mindbody; and (d) promptly correcting any errors in the Mindbody scheduling system.

MiaoDesk is not liable for: (a) calls that are not received due to carrier-level failures, incorrect call forwarding configuration, or Twilio service interruptions; (b) call quality issues resulting from poor End Client network connectivity; (c) failure of the AI agent to understand heavily accented speech, background noise, or non-standard requests outside its trained scope; or (d) any booking or cancellation that fails to propagate to Mindbody due to Mindbody API downtime or credential expiration.

6.4 Customer Indemnity for Booking Disputes 6.4 客户对预约争议的赔偿

Customer shall defend, indemnify, and hold harmless MiaoDesk from any third-party claims, costs, or liabilities arising from booking errors, appointment no-shows, double-bookings, or incorrect cancellations that arise from Customer's failure to fulfill its obligations under Section 6.2, or from inaccuracies in Customer's own Mindbody data.

The Service integrates with the following Third-Party Services to deliver its functionality. By using the Service, you authorize MiaoDesk to act as your agent in transmitting data to and from these providers on your behalf:

Customer is responsible for: (a) providing MiaoDesk with accurate API credentials and for updating those credentials promptly upon renewal or rotation; (b) ensuring that Customer's use of each Third-Party Service complies with that provider's terms of service; and (c) any fees charged by Third-Party Services to Customer's own accounts. For clarity, MiaoDesk manages its own accounts with Stripe, Supabase, Replit, and Resend on Customer's behalf — Customer is not required to independently maintain accounts with those providers.

Customer acknowledges and agrees that operating the Service requires MiaoDesk to pass Customer Data (including End Client names, phone numbers, appointment details, and call transcripts) to Third-Party Services solely as necessary to provide the Service. MiaoDesk will transmit such data only over encrypted connections (TLS 1.2 or higher) and will not use it for any purpose other than providing the Service to Customer.

Customer's data transmitted to Third-Party Services is also subject to those providers' own privacy policies and terms of service. MiaoDesk is not responsible for the data practices of Third-Party Services and does not make any representations regarding their compliance with applicable privacy laws. Customer should review each provider's policies independently:

MIAODESK DOES NOT WARRANT THE AVAILABILITY, ACCURACY, OR PERFORMANCE OF ANY THIRD-PARTY SERVICE. INTERRUPTIONS OR FAILURES OF THIRD-PARTY SERVICES ARE EXCUSED OUTAGES UNDER SECTION 5.3 AND ARE NOT GROUNDS FOR SERVICE CREDITS OR BREACH CLAIMS AGAINST MIAODESK. Third-Party Services may modify their APIs, pricing, or terms in ways that affect the Service. MiaoDesk will use commercially reasonable efforts to maintain integrations but reserves the right to discontinue or modify any Third-Party integration upon thirty (30) days' notice if continued support is not commercially or technically feasible.

As between MiaoDesk and Customer, Customer retains all right, title, and interest in and to Customer Data. MiaoDesk acquires no ownership interest in Customer Data by virtue of this Agreement.

The Service may record telephone conversations with End Clients for quality assurance, AI model grounding, and dispute resolution purposes. Customer is solely responsible for: (a) complying with all applicable federal and state wiretapping, call recording, and consumer notification laws (including California Penal Code Section 632 and similar state statutes); (b) providing legally required disclosures or obtaining consents from End Clients prior to or at the commencement of recorded calls; and (c) posting any required notices on Studio premises or recorded greeting messages.

Customer represents that it has the legal right to provide End Client information to MiaoDesk and that doing so complies with Customer's own privacy policy and applicable law, including the California Consumer Privacy Act (CCPA) where applicable. MiaoDesk will process End Client data only on Customer's behalf as a service provider/processor and will not sell End Client data.

MiaoDesk implements commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, disclosure, or destruction. However, no system is perfectly secure. MiaoDesk will notify Customer without undue delay, and in any event within seventy-two (72) hours, upon becoming aware of a security breach that affects Customer Data.

Customer expressly authorizes MiaoDesk to read and write the following categories of Mindbody data on Customer's behalf: (a) client records (name, phone number, email); (b) appointment bookings, modifications, and cancellations; (c) service and staff availability. MiaoDesk will not access Mindbody financial data, stored payment instruments, or any data category not listed here without separate written consent.

The Service may only be used by Customer's Studio staff and AI agents operating on Customer's behalf to handle legitimate appointment-related inquiries from bona fide End Clients.

Customer may not, and may not permit any third party to, use the Service to:

9.3 Monitoring and Enforcement 9.3 监控与执行

MiaoDesk reserves the right to review aggregated call data and usage metrics for violations of this Section. Upon discovering a violation, MiaoDesk may (a) issue a written warning, (b) suspend the affected Studio(s) with immediate effect, or (c) terminate the Agreement for cause pursuant to Section 14. MiaoDesk is not obligated to monitor Customer's use of the Service.

10. Data Retention and Deletion on Cancellation 10. 取消时的数据保留与删除

MiaoDesk retains Customer Data for as long as Customer's account remains active, plus any additional period required by applicable law or legitimate business purposes (e.g., dispute resolution, audit obligations).

10.2 Post-Cancellation Data Access 10.2 取消后的数据访问

Upon cancellation or expiration of Customer's Subscription, Customer's access to the Service and dashboard will be suspended at the end of the then-current billing period. For a period of thirty (30) days following account suspension (the "Data Export Window"), Customer may request an export of Customer Data by contacting support@miaodesk.com. MiaoDesk will provide a machine-readable export within ten (10) business days of a valid export request.

After the Data Export Window expires, MiaoDesk will delete Customer Data from its active production systems within sixty (60) days. Deletion from encrypted backup archives may take up to one hundred eighty (180) days due to backup rotation schedules. Anonymized, aggregated, or de-identified data derived from Customer Data may be retained indefinitely for product improvement purposes and does not constitute "Customer Data" for purposes of this Section.

All right, title, and interest in the Service, including all software, algorithms, AI models, voice personas (including the "Mei" receptionist persona), documentation, trademarks, and trade dress, are owned by MiaoDesk or its licensors. No rights are granted to Customer except the limited license in Section 4.1.

MIAODESK'S TOTAL AGGREGATE LIABILITY TO CUSTOMER FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES PAID BY CUSTOMER TO MIAODESK IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). The parties acknowledge that the limitations of liability in this Section 12 reflect a reasonable allocation of risk and are an essential element of the basis of the bargain between the parties. MiaoDesk would not have entered into this Agreement without these limitations.

12.5 Exceptions 12.5 例外情况

The limitations in Sections 12.2 and 12.3 do not apply to: (a) Customer's indemnification obligations under Section 6.4; (b) damages arising from Customer's material breach of Section 9 (Acceptable Use); (c) damages caused by a party's fraud or willful misconduct; or (d) either party's obligations arising under applicable data protection law.

Customer will defend, indemnify, and hold harmless MiaoDesk, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Customer's use of the Service in violation of this Agreement; (b) Customer's violation of applicable law; (c) Customer Data, including any claim that Customer Data infringes third-party rights or violates applicable privacy law; (d) End Client disputes relating to booking errors attributable to Customer under Section 6.4; or (e) Customer's failure to obtain required consents for call recording.

13.2 MiaoDesk's Indemnification 13.2 MiaoDesk 的赔偿

MiaoDesk will defend, indemnify, and hold harmless Customer from and against any third-party claims that the Service, as provided by MiaoDesk and used in accordance with this Agreement, infringes any U.S. patent, copyright, or trademark. If the Service becomes or is likely to become the subject of an infringement claim, MiaoDesk may, at its option: (a) modify the Service to be non-infringing; (b) obtain a license; or (c) terminate this Agreement and refund prepaid, unused subscription fees.

This Agreement commences on the date Customer activates an account and continues until terminated in accordance with this Section.

Either party may terminate this Agreement for any reason by providing at least thirty (30) days' written notice. Customer may cancel at any time through the account dashboard; cancellation takes effect at the end of the then-current billing period.

14.3 Termination for Cause 14.3 有理由终止

Either party may terminate this Agreement immediately upon written notice if: (a) the other party materially breaches this Agreement and fails to cure such breach within fifteen (15) days after receiving written notice specifying the breach; or (b) the other party becomes insolvent, makes a general assignment for the benefit of creditors, or is subject to bankruptcy, receivership, or similar proceedings.

Upon termination: (a) all licenses granted hereunder immediately terminate; (b) Customer must cease all use of the Service; (c) all outstanding fees become immediately due and payable; and (d) the parties' rights and obligations under Sections 3.8, 6, 8, 10, 11, 12, 13, 14.4, and 15 through 17 survive.

Before initiating formal proceedings, the parties agree to attempt good-faith resolution of any dispute by providing written notice to the other party and engaging in executive-level discussions for at least thirty (30) days.

15.2 Binding Arbitration 15.2 具有约束力的仲裁

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to this Agreement, including its formation, validity, breach, or termination, will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in San Francisco, California, or via video conference at the election of either party. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. 各方放弃陪审团审判的权利以及参与集体、集合或代表性诉讼的权利。所有索赔必须以当事方的个人身份提出,而不是以任何所谓集体或代表性诉讼中的原告或集体成员身份提出。

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.

This Agreement is governed by the laws of the State of California, without regard to conflict of law principles. Subject to Section 15.2, the parties consent to exclusive jurisdiction in the state and federal courts located in San Francisco County, California.

Each party ("Receiving Party") agrees to hold in strict confidence all non-public, proprietary information disclosed by the other party ("Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information"). Each party agrees to: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses for its own similar information, but in no event less than reasonable care; and (c) limit access to Confidential Information to employees and contractors with a need to know. Obligations of confidentiality do not apply to information that: (i) is or becomes publicly known through no breach of this Agreement; (ii) was rightfully known to the Receiving Party prior to disclosure; (iii) is independently developed without use of the Confidential Information; or (iv) is required to be disclosed by law, provided the Receiving Party gives the Disclosing Party prompt prior written notice and cooperates with any protective order request.

17. General Provisions 17. 一般条款

17.1 Entire Agreement 17.1 完整协议

This Agreement, together with any Order Form and any policies or addenda incorporated by reference, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior negotiations, representations, and agreements.

17.2 Amendments 17.2 修订

MiaoDesk may update this Agreement from time to time. For material changes, MiaoDesk will provide at least thirty (30) days' prior notice via email or prominent in-app notice. Continued use of the Service after the effective date of any amendment constitutes acceptance. If Customer objects to an amendment, Customer's sole remedy is to terminate the Agreement before the amendment's effective date.

If any provision of this Agreement is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17.4 Waiver 17.4 豁免

No waiver of any provision or breach will constitute a continuing waiver or a waiver of any other provision or breach.

Customer may not assign this Agreement or any rights or obligations hereunder without MiaoDesk's prior written consent. MiaoDesk may assign this Agreement without consent in connection with a merger, acquisition, or sale of all or substantially all of its assets. Any unauthorized assignment is void.

Neither party is liable for delays or failures in performance caused by circumstances beyond its reasonable control, including natural disasters, acts of government, pandemics, telecommunications failures, or labor disputes, provided the affected party notifies the other promptly and uses reasonable efforts to mitigate the impact.

Notices under this Agreement must be in writing and delivered by: (a) email to support@miaodesk.com (for notices to MiaoDesk) or to Customer's registered email address (for notices to Customer), with confirmation of receipt; or (b) overnight courier to the party's registered address. Notices are effective upon confirmed receipt.

The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, employment, or franchise relationship between the parties.

This Agreement is executed in English. Any translations provided for Customer convenience are non-binding. In the event of a conflict between the English version and any translation, the English version controls.
